Please read these Terms carefully. They govern your access to and use of the Tikle platform.
These Terms of Service ("Terms") constitute a legally binding agreement between you and Tikle governing your use of the Platform. By creating an account or accessing any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Acceptance of Terms
Agreement to Terms
By accessing or using the Tikle platform, website, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue your use of the Platform.
Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By using Tikle, you represent and warrant that you meet these eligibility requirements.
Updates to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms.
Use of the Platform
Permitted Use
Subject to these Terms, Tikle grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes related to researching and analyzing Business Development Companies (BDCs).
Prohibited Activities
You agree not to: (a) copy, reproduce, distribute, or create derivative works from any Platform content without express written permission; (b) use automated tools, bots, scrapers, or scripts to access or extract data from the Platform; (c) reverse engineer, decompile, or disassemble any part of the Platform; (d) use the Platform in any manner that could damage, disable, overburden, or impair our servers or networks; or (e) attempt to gain unauthorized access to any part of the Platform.
Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Tikle is not liable for any loss or damage arising from your failure to protect your account information.
Data & Content
Source of Data
Data and information displayed on the Platform is sourced from publicly available filings and records published by the U.S. Securities and Exchange Commission (SEC) via EDGAR, as well as other publicly available sources. Tikle is not affiliated with or endorsed by the SEC.
No Warranty on Data Accuracy
While we make reasonable efforts to present accurate and up-to-date data, Tikle makes no representations or warranties regarding the completeness, accuracy, timeliness, or reliability of any data on the Platform. Data may contain errors, omissions, or delays, and should not be relied upon as the sole basis for any investment decision.
User-Generated Content
If you submit any content, feedback, or communications through the Platform, you grant Tikle a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content for the purposes of operating and improving the Platform.
Intellectual Property
Tikle's Intellectual Property
The Platform, including its design, software, algorithms, features, text, graphics, logos, and all other content created by Tikle, is the exclusive property of Tikle and is protected by applicable copyright, trademark, and other intellectual property laws.
Restrictions
You may not use, copy, modify, distribute, sell, or exploit any part of the Platform or its content for commercial purposes without our prior written consent. Any unauthorized use of our intellectual property may result in immediate termination of your access and legal action.
Trademarks
"Tikle" and associated logos and marks are trademarks of Tikle. You may not use these marks in connection with any product or service without the prior written consent of Tikle.
Subscriptions & Payments
Paid Plans
Certain features of the Platform are available only through a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. All fees are in U.S. dollars unless otherwise stated.
Billing & Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize Tikle to charge your payment method on a recurring basis for the applicable subscription fee.
Cancellations & Refunds
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. Tikle does not provide refunds for partial billing periods except where required by applicable law.
Price Changes
We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' notice of any price change. Your continued use of the Platform after the effective date of a price change constitutes your acceptance of the new pricing.

No Financial Advice
Nothing on the Platform constitutes financial, investment, legal, or tax advice. All information is provided for informational purposes only. You should consult a qualified financial advisor, attorney, or tax professional before making any investment or financial decisions.
As-Is Basis
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Service Availability
Tikle does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without notice.
Limitation of Liability
Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIKLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
Cap on Liability
In no event shall Tikle's total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the greater of (a) the total fees paid by you to Tikle in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
Essential Basis
The limitations of liability set forth in these Terms reflect a reasonable allocation of risk and form an essential basis of the bargain between you and Tikle. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.
Indemnification
Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Tikle and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Platform.
Governing Law & Disputes
Governing Law
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Termination
Termination by Tikle
We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law.
Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Termination does not entitle you to a refund of any prepaid fees.
Effect of Termination
Upon termination, your license to use the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination — including disclaimers, limitation of liability, indemnification, and governing law — shall survive.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Tikle regarding your use of the Platform.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
No Waiver
Tikle's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Tikle.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Tikle may assign its rights and obligations under these Terms without restriction.
